NEXTPION Terms and Conditions

Introduction

Welcome to NEXTPION. These Terms and Conditions ("Terms") govern your access to and use of the NEXTPION platform, including our website, services, plugin marketplace, and plugin manager (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

NEXTPION is a platform that enables users to purchase, download, and manage scripts and plugins through our plugin manager. These Terms constitute a legally binding agreement between you and NEXTPION.

Account Registration

Account Creation

To access certain features of our Services, you must create an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Security

You are solely responsible for maintaining the security of your account and password. NEXTPION cannot and will not be liable for any loss or damage resulting from your failure to comply with this security obligation.

Purchases and Subscriptions

Payment Terms

All purchases made through our platform are subject to these Terms. Prices for products and subscriptions are listed in the currency specified on our website and do not include taxes unless otherwise stated.

Refund and Cancellation Policy

Digital Products (Plugins and Scripts)

• Standard Refund Policy: Due to the nature of digital products, all sales of plugins and scripts are final once the license key has been generated and delivered.

• Defective Products: If a purchased plugin or script is defective, not as described, or fails to perform its primary functions, you may request a refund within 14 days of purchase. To qualify for a refund:

  • You must provide detailed information about the defect or issue
  • Our technical team must verify that the issue is not due to your system configuration or improper use
  • You must have made reasonable attempts to use our support services to resolve the issue

• Non-Refundable Circumstances: Refunds will not be issued for:

  • Compatibility issues that were clearly stated in the product description
  • Changes in project requirements after purchase
  • Lack of features that were not advertised or promised
  • User's lack of technical knowledge to implement the plugin or script

Subscription Services

• Cancellation: You may cancel a subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period.
• Prorated Refunds: We do not provide prorated refunds for unused portions of your current billing period when you cancel a subscription.
• API Service Subscriptions: For API-based services:
  • Refunds may be issued for significant and persistent service outages (exceeding 24 hours) that impacted your ability to use the service
  • Usage-based API subscriptions are charged based on actual usage and are not eligible for refunds once the API has been accessed
  • Fixed-rate API subscriptions may be eligible for partial refunds if less than 20% of the allocated resources have been used and the cancellation request is made within the first 7 days of the billing cycle

Enterprise and Custom Solutions

• Custom solutions and enterprise-level purchases are subject to the specific terms outlined in the individual service agreements.
• Unless otherwise specified in writing, custom development work requires a non-refundable deposit.

Refund Process

To request a refund:

2. Include your order number, the product name, and a detailed explanation of the issue
3. Our team will review your request within 5 business days
4. If approved, refunds will be processed using the original payment method

License Keys

Upon purchasing a product, you may receive a license key. This key is personal to you and may not be shared, transferred, or sold to any third party.

Plugin Manager and Downloads

Plugin Manager

The NEXTPION plugin manager is the official tool for downloading, installing, and updating purchased plugins. You agree to:

1. Use the plugin manager in accordance with its documentation
2. Not attempt to circumvent any security measures in the plugin manager
3. Keep the plugin manager updated to the latest version

Updates and Maintenance

• Updates to plugins will be delivered through the plugin manager
• We do not guarantee that all plugins will be compatible with future versions of the platform or operating systems
• Support for plugins is provided according to the terms specified at the time of purchase

Intellectual Property Rights

Our Content

All content on the NEXTPION platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of NEXTPION or its content suppliers and is protected by international copyright laws.

User Content

You retain all rights to any content you submit, post, or display on or through our Services. By submitting content to NEXTPION, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content.

Third-Party Content

Plugins and scripts available on our platform may be owned by third-party developers. Your use of such products is subject to the specific license terms provided by those developers.

Prohibited Activities

You agree not to:

1. Use our Services for any illegal purpose or in violation of any laws
2. Violate or infringe other people's intellectual property, privacy, or other rights
3. Interfere with or disrupt the integrity or performance of our Services
4. Attempt to gain unauthorized access to our Services or related systems
5. Reproduce, duplicate, copy, sell, resell, or exploit any portion of our Services without express permission
6. Use automated means to access or use our Services without our permission
7. Distribute malware or other harmful code through our platform

Service Availability and Modifications

Service Availability

While we strive to keep our Services operational at all times, we do not guarantee that our Services will be available, uninterrupted, or error-free. We reserve the right to suspend or terminate access to our Services for maintenance or updates.

Modifications to Services

We may modify, update, or discontinue any aspect of our Services at any time without prior notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of our Services.

Limitation of Liability

To the maximum extent permitted by law, NEXTPION shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, resulting from:

1. Your use or inability to use our Services
2. Any unauthorized access to or use of our servers or personal information
3. Any interruption or cessation of transmission to or from our Services
4. Any bugs, viruses, or other harmful code transmitted through our Services

Indemnification

You agree to indemnify, defend, and hold harmless NEXTPION and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

1. Your use of our Services
2. Your violation of these Terms
3. Your violation of any rights of another person or entity
4. Your content submitted to our platform

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the Asian International Arbitration Centre (AIAC).

Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
